IFI DATA SCHEDULE (IFI Claims Third Party Agreement)
IFI DATA SCHEDULE
This Schedule (“Schedule”) forms part of the PatentPlusAI Terms of Service (the “Agreement”).
1 Definitions
1.1 Data Collection has the meaning set out in the Reseller Agreement.
1.2 IFI Marks means any names, logos or product identifiers of Fairview Research, LLC (a/k/a IFI CLAIMS Patent Services) (“IFI”).
1.3 Substantial Part means any subset of the Data Collection containing more than twenty‑five per cent (25 %) of the records originating from a single publishing source within any calendar year.
1.4 End User means any individual who accesses the Services under Client’s account.
2 Grant of Sublicence & Permitted Use
2.1 Subject to full compliance with this Schedule, PatentPlusAI grants Client and its End Users a limited, non‑exclusive, non‑transferable, worldwide right, during the Term, to access and use the Data Collection solely through the Services for Client’s internal business purposes.
2.2 No express or implied rights are granted except as set out herein. All rights not expressly granted are reserved to PatentPlusAI and IFI.
2.3 Static Reports Exception. Client may incorporate insubstantial excerpts of the Data Collection into search reports (e.g., PDF novelty searches, FTO reports) that it delivers to its own customers
3 Licence Restrictions
Client shall not, and shall ensure that End Users do not, directly or indirectly:
(a) use, display, distribute, or otherwise make available any Substantial Part of the Data Collection outside the Services;
(b) sell, sublicense, lease, loan, timeshare, publish, or otherwise redistribute the Data Collection or any derivative thereof that constitutes a Substantial Part to third parties (the Static Reports Exception in § 2.3 remains permitted);
(c) enable any robot, web‑crawler, spider, scraper, or similar data‑extraction tool to access the Data Collection in a manner that could reconstruct a Substantial Part;
(d) copy, adapt, translate, reverse‑engineer, decompile, disassemble, or otherwise attempt to derive source code, data‑transformation processes, or schema that form part of the Data Collection or Data Warehouse;
(e) remove, obscure, or alter any copyright, trademark, proprietary, disclaimer, or watermark notice in the Data Collection;
(f) use the Data Collection in violation of any applicable export‑control, sanctions, data‑protection, or anti‑bribery laws;
(g) use the Data Collection (i) for training or fine‑tuning large language models or other AI systems intended for public release, or (ii) in any way that competes with the Services, unless expressly authorised in writing by PatentPlusAI and IFI;
(h) grant any sublicence that lasts beyond the Term of the Agreement or fails to reserve PatentPlusAI’s right to terminate upon termination of PatentPlusAI’s licence from IFI.
4 Security Obligations
Client must implement and maintain commercially reasonable administrative, technical, and physical safeguards designed to:
• protect the integrity and confidentiality of the Data Collection; and
• prevent unauthorised access, copying, modification, or use.
Upon written request, Client will certify its compliance with these safeguards.
5 Intellectual Property & Attribution
5.1 The Data Collection, Data Warehouse, Meta‑data, and all related Intellectual Property Rights are and shall remain the sole property of IFI and its licensors. No ownership rights pass to Client.
5.2 Client must retain and display any copyright, trademark, disclaimer, proprietary legend, or digital watermark included with the Data Collection.
6 Compliance with Laws & Data Protection
6.1 Client shall comply with all applicable laws, rules, and regulations—including export controls, sanctions, privacy, and anti‑bribery laws—when accessing or using the Data Collection.
7 Confidentiality
The Data Collection and any IFI‑supplied documentation constitute Confidential Information under the Agreement. Client shall not disclose such Confidential Information except as expressly permitted therein.
8 Warranty Disclaimer & Limitation of Liability
8.1 The Data Collection is provided “AS IS” without warranty of any kind. IFI and PatentPlusAI expressly disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, and non‑infringement.
8.2 In no event will IFI or PatentPlusAI be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for direct damages exceeding the fees paid by Client to PatentPlus AI in the twelve (12) months preceding the event giving rise to liability.
9 Term & Termination
9.1 This Schedule commences on the date Client first accesses the Data Collection and continues for the duration of the Agreement (the “Term”).
9.2 Client’s rights under this Schedule automatically terminate upon the earlier of (a) expiry or termination of the Agreement; or (b) termination of PatentPlusAI’s licence from IFI.
9.3 Upon termination, Client must immediately cease all use of the Data Collection and, at PatentPlusAI’s option, delete or return all copies in its possession or control.
10 Updates to Schedule
PatentPlusAI may amend this Schedule to comply with updates to the Reseller Agreement or other supplier requirements by posting a revised version at the URL referenced in the Agreement and notifying Client. Continued use of the Services after the effective date of any amendment constitutes acceptance.
11 General
11.1 If there is any conflict between this Schedule and the Agreement, this Schedule governs with respect to the Data Collection.
11.2 This Schedule is governed by the same law and jurisdiction specified in the Agreement.
11.3 Any waiver or modification of this Schedule must be in writing and signed by an authorized representative of PatentPlusAI.
